Premium Audio Company Response to Onkyo Home Entertainment Bankruptcy Filing

Dear PAC Partners,

Late last week, we learned that Onkyo Home Entertainment Corporation (OHE) filed for bankruptcy protection in Osaka, Japan for two of its subsidiaries as we anticipated. As a result, some false and misleading statements have surfaced in various media outlets that I’d like to address.

In a nutshell, this filing does not include the assets that were previously purchased last year by Premium Audio Company and Sharp. OHE essentially acted as a licensing company, similar to our relationship with Pioneer. This filing has no impact on our operations as we are not reliant on them for any function in developing or distributing Onkyo or Integra branded audio/video solutions. Additionally, consumer demand for these brands has never been stronger and we are positioned to expand production to meet demand.

In September 2021, Premium Audio Company (PAC), a wholly-owned subsidiary of VOXX International (NASDAQ: VOXX), announced that we along with Sharp Corporation created a joint venture and acquired Onkyo’s home audio/video business, which includes the long-standing and innovative Onkyo and Integra brands. PAC owns approximately 75% of the joint venture and manages all product development, the world-class engineering team and their prowess at Onkyo, sales, marketing, distribution, and all intellectual property of Onkyo’s home entertainment business. Sharp continues to manufacture Onkyo and Integra audio/video solutions products and spare parts in their state-of-the-art Malaysian plant, as they have in the past. The process for service and warranty will continue as it does today.

Demand for Onkyo and Integra products is very high, and we expect this to intensify in the coming years. We have been working very closely with Sharp to ramp up production and have grown our business significantly in the eight months since the acquisition was completed. We have big plans for these brands and are working diligently to expand production and reach to meet growing consumer demand. Rumors to the contrary are simply unfounded and misleading.

Klipsch Unveils Dramatic Upgrades to Its Best-Selling Reference Speakers

INDIANAPOLIS, IND. (May 16, 2022) — Klipsch®, a leading premium global audio company, is announcing the debut of its new ReferenceTM series speakers. The company’s acclaimed Reference series speakers have dominated living rooms for years. The new series features the most dramatic upgrades since the series’ inception, including many technologies derived from the award-winning Klipsch Reference Premiere series. The new Klipsch Reference series is comprised of 10 models­ — including Dolby Atmos® enabled speakers — all infused with the latest technological audio advancements, as well as cosmetic and material upgrades.

Now in its seventh generation, the new Klipsch Reference speaker series delivers even higher sound quality, precision, clarity, and effortless power. A new, larger, edge-to-edge proprietary Tractrix® horn provides improved coverage, bandwidth, and directivity control. New woofers made of spun-copper thermoformed crystal polymer (TCP) use steeper angling of cones for a smoother response and better crossover integration for improved accuracy and transparency. Sleek cabinet designs exude modern elegance with enhanced cabinet bracing and features such as black scratch-resistant wood grain vinyl finish, metallic coated binding posts, and discrete Dolby Atmos connections that allow for easy and refined elevation speaker integration.

The 10 new Klipsch Reference series models consist of three floorstanding speakers (R-605FA Dolby Atmos enabled, R-800F and R-600F), two center channels (R-50C and R-30C), two bookshelf speakers (R-50M, R-40M), one Dolby Atmos elevation speaker that can also be used as a surround speaker (R-40SA), and two powered subwoofers (R-121SW and R-101SW).

Price points for the new Klipsch Reference series span U.S. MSRP price points ranging from $998-$1,798/pair of floorstanding speakers, $299-$399/pair of bookshelf speakers, $379-499/each for a center channel, $599/pair of surrounds, and $499-$599 for the subwoofers. They are available now in the U.S. at Best Buy, Klipsch.com and select authorized retailers.

Klipsch Upgrades Award-Winning Reference Premiere Speakers

The all-new line is an enhanced version of the company’s award-winning Reference Premiere series of speakers, which is also its most award-winning series of all time. Now in its third generation, the new Reference Premiere speakers feature the most impactful upgrades in the series’ history, including the latest technological audio advancements, premium materials, and dramatic cosmetic details.

The new series uses new, larger proprietary Tractrix® horn technology to improve high-frequency response and extension while enhancing imaging and dynamics. Klipsch signature copper Cerametallic™ woofers with aluminum Faraday rings and Tractrix ports provide powerful low frequencies while minimizing distortion and maximizing efficiency. An exclusive Linear Travel Suspension (LTS) titanium tweeter maximizes dynamics, delivering detailed performances.

New premium materials and dramatic design features used in the Klipsch Reference Premiere series are the epitome of modern elegance.   • Three center channel speakers (RP-504C II, RP-500C II and RP-404C II)
